Charity Governance Code: Key Updates for 2025

The Charity Governance Code has received a major update following a sector-wide consultation led by its voluntary steering group. Released in November 2025, this refreshed version builds on its role as a benchmark for good governance since 2005, with previous updates in 2010, 2017, and 2020. The new Code is designed to be easier to navigate and more practical for charities of all sizes.

What’s Changed?

  • Principles Refreshed:
    • Integrity and Openness, and accountability have merged into Ethics and culture.
    • Decision making, risk and control is now two principles: Decision making and Managing resources and risks.
    • Diversity has broadened to Equality, diversity and inclusion.
  • Clear Indicators: Each principle now includes “when you know it’s working” indicators. For example, under Organisational Purpose:
    “The board adapts the approach of the charity to reflect changes in the operating environment.”
  • Behavioural Guidance: New sections outline expected behaviours for trustees and chairs. For instance, boards should be “open to new ideas, approaches or partnerships where these support the charity’s purpose.”
  • Practical Tools: Suggested policies, processes, and evidence types are included for each principle, such as impact measures and evaluation reports.
  • One Code for All: There is no longer a separate version for different-sized charities. Instead, additional requirements are clearly flagged for larger organisations or those with staff.

The Code remains voluntary, but trustees are encouraged to include a short statement in their annual report explaining how they apply it. An interactive online version with tailored case studies and resources will launch next year, offering extra support for smaller organisations.
